Terms of Service

Last updated: August 27, 2026

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. THESE TERMS CONTAIN IMPORTANT PROVISIONS REGARDING LIMITATIONS OF LIABILITY, INDEMNIFICATION, DISPUTE RESOLUTION, ARBITRATION, AND A CLASS ACTION WAIVER THAT MAY AFFECT YOUR LEGAL RIGHTS.

These Terms of Service ("Terms") constitute a legally binding agreement between you, individually and on behalf of any business or organization you represent ("Customer," "you," or "your"), and the legal entity operating Coverly CRM ("Coverly," "Company," "we," "us," or "our").

These Terms govern your access to and use of Coverly CRM, including our websites, CRM platform, applications, communications tools, artificial-intelligence functionality, automation tools, websites and funnels, calendars, forms, integrations, telephone functionality, messaging functionality, marketing tools, support services, and any other products or services made available by Coverly (collectively, the "Services").

By creating an account, purchasing a subscription, clicking an acceptance button, executing an order form, or accessing or using the Services, you acknowledge that you have read, understand, and agree to these Terms.

If you are accepting these Terms on behalf of a company or other organization, you represent and warrant that you have authority to bind that organization.

If you do not agree to these Terms, do not access or use the Services.

1. Eligibility and Authority

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Services.

If you use the Services on behalf of a business or other legal entity, that entity is responsible for your activities and for the activities of all persons accessing the Services through its account.

You represent and warrant that all information supplied to Coverly is accurate, current, and complete.

2. Description of Services

Coverly provides a technology platform that may include customer relationship management, communications, marketing automation, appointment scheduling, workflows, websites, funnels, forms, payment integrations, telephone functionality, email, SMS/MMS messaging, artificial-intelligence functionality, analytics, integrations, and related services.

Features may vary depending upon subscription, industry, configuration, geographic area, third-party availability, or other factors.

Coverly may modify, add, remove, suspend, replace, or discontinue features from time to time.

Unless expressly stated in a written agreement signed by Coverly, no particular feature, integration, uptime level, business outcome, sales result, lead volume, revenue level, appointment volume, conversion rate, or other result is guaranteed.

3. Accounts and Security

Customers are responsible for maintaining the confidentiality and security of account credentials.

You are responsible for all activity occurring through your account, including activity performed by employees, contractors, representatives, agents, administrators, and other authorized users.

You must:

  • use reasonable security measures;
  • restrict access to authorized persons;
  • maintain accurate account information;
  • promptly remove access for persons who are no longer authorized;
  • notify Coverly promptly of suspected unauthorized access or security incidents; and
  • comply with any authentication or security requirements established by Coverly.

Coverly is not responsible for losses resulting from a Customer's failure to protect its credentials, devices, systems, or account access, except to the extent such liability cannot lawfully be excluded.

4. Customer Responsibility for Its Business

Coverly provides technology and related services. Coverly does not operate Customer's business.

Customer is solely responsible for:

  • its products and services;
  • representations made to its customers or prospects;
  • advertising and marketing;
  • licenses and regulatory approvals;
  • employees, contractors, agents, and representatives;
  • customer service;
  • fulfillment;
  • pricing;
  • refunds owed by Customer to its customers;
  • regulatory compliance;
  • communications sent through the Services;
  • information entered into the Services; and
  • obtaining all legally required permissions, notices, disclosures, and consents.

Use of Coverly does not transfer Customer's legal or regulatory obligations to Coverly.

5. Customer Data

"Customer Data" means information, content, records, contacts, communications, documents, files, images, recordings, and other data submitted to or processed through the Services by or on behalf of Customer.

As between Coverly and Customer, Customer retains its rights in Customer Data.

Customer grants Coverly and its service providers a nonexclusive, worldwide right to host, store, reproduce, transmit, process, display, modify as technically necessary, and otherwise use Customer Data solely as reasonably necessary to provide, secure, maintain, support, troubleshoot, improve, and administer the Services and as otherwise permitted by applicable law and our Privacy Policy or applicable Data Processing Addendum.

Customer represents and warrants that it has all rights, permissions, notices, authorizations, and lawful bases required to collect, upload, disclose, use, and process Customer Data through the Services.

6. Customer as Data Controller

Except where applicable law provides otherwise, Customer determines what information Customer collects from its contacts, customers, employees, prospects, and other individuals and why that information is processed.

Customer is therefore responsible for its own privacy notices, consent mechanisms, retention policies, consumer requests, and compliance obligations.

Where Coverly processes personal information on Customer's behalf, Coverly generally acts as a service provider or processor, as applicable, subject to any applicable Data Processing Addendum.

Customer shall not instruct Coverly to process personal information in violation of applicable law.

7. Communications, SMS, Telephone and Email Compliance

The Services may permit Customers to send or facilitate telephone calls, SMS/MMS messages, voicemail messages, emails, direct messages, automated communications, prerecorded communications, or other communications.

Customer is solely responsible for ensuring that every communication sent or initiated through Customer's account complies with applicable law.

This includes, as applicable:

  • the Telephone Consumer Protection Act ("TCPA");
  • CAN-SPAM Act;
  • federal and state Do-Not-Call requirements;
  • Florida telemarketing and telephone-solicitation laws;
  • applicable carrier requirements;
  • industry rules;
  • consent requirements;
  • identification and disclosure requirements; and
  • opt-out and revocation requirements.

Customer must obtain and maintain all legally required consent before sending communications.

Customer must honor applicable opt-out and revocation requests.

Customer must maintain appropriate evidence of consent when legally required.

Customer may not purchase, upload, scrape, import, or use contact lists unless Customer has a lawful right to contact the persons included on those lists.

Coverly does not determine whether Customer has legally sufficient consent to contact a particular person.

Customer acknowledges that Coverly's provision of messaging or telephone technology does not constitute authorization or legal advice to send any particular communication.

8. Call Recording

Certain Services may permit telephone calls or other communications to be recorded, monitored, transcribed, analyzed, or summarized.

Laws concerning recording and monitoring communications vary by jurisdiction.

Customer is solely responsible for determining whether notice or consent is required and for obtaining all legally required permissions before recording, monitoring, transcribing, or analyzing communications.

Coverly does not represent that enabling a recording feature makes Customer's use of that feature lawful.

9. Artificial Intelligence

The Services may contain artificial-intelligence, machine-learning, generative-AI, voice-AI, conversation-AI, automated decision-support, or similar functionality ("AI Features").

AI-generated content may be inaccurate, incomplete, misleading, inappropriate, or outdated.

Customer is responsible for reviewing AI-generated content before relying upon it or providing it to another person.

Customer shall not rely on AI Features as a substitute for professional legal, medical, financial, insurance, tax, regulatory, or other professional advice.

Customer is responsible for configuring, supervising, testing, and monitoring AI Features used through Customer's account.

Coverly does not guarantee that AI-generated communications will be error-free or appropriate for every recipient or circumstance.

Customer remains responsible for communications and actions performed through AI Features to the maximum extent permitted by law.

10. Regulated Industries

Customers operating in regulated industries remain solely responsible for complying with laws, regulations, licensing requirements, professional obligations, carrier rules, advertising requirements, recordkeeping obligations, consent requirements, and industry standards applicable to their business.

Coverly's provision of technology does not constitute legal, insurance, medical, financial, tax, accounting, or regulatory advice.

Customer shall independently determine whether the Services are appropriate for Customer's regulatory environment.

11. Health Information and HIPAA

Customer shall not use the Services to create, receive, maintain, or transmit Protected Health Information ("PHI") subject to HIPAA unless Coverly has expressly agreed in writing that the applicable Services may be used for such purpose and all required agreements, including any required Business Associate Agreement, have been properly executed.

The availability of fields capable of storing health-related information does not mean that a particular Service is HIPAA compliant or authorized for PHI.

Customer is solely responsible for determining whether HIPAA applies to Customer.

12. Insurance Information

Coverly may provide technology used by insurance agencies, brokers, producers, or related businesses.

Coverly is not an insurance carrier and does not provide insurance coverage merely by providing the Services.

Unless separately agreed in writing, Coverly does not determine eligibility for insurance, guarantee enrollment, make coverage decisions, determine subsidy eligibility, or guarantee compliance with CMS, Marketplace, carrier, Department of Insurance, or other regulatory requirements.

Insurance professionals using the Services remain responsible for their licenses, appointments, certifications, consumer permissions, consent records, applications, advertising, communications, enrollments, record retention, and regulatory obligations.

13. Third-Party Services and Integrations

The Services may depend upon or integrate with third-party products and services, including telecommunications providers, email providers, payment processors, advertising platforms, social networks, calendar providers, domain providers, artificial-intelligence providers, APIs, hosting providers, and other technology vendors.

Third-party services are governed by their own terms and policies.

Coverly does not control third-party services and is not responsible for their:

  • downtime;
  • service interruptions;
  • API changes;
  • pricing changes;
  • account restrictions;
  • suspensions;
  • terminations;
  • data practices;
  • delivery failures;
  • policy changes; or
  • other acts or omissions.

Coverly may replace, modify, or discontinue integrations where reasonably necessary.

14. Telecommunications and Message Delivery

Telephone numbers, email delivery, SMS/MMS delivery, caller identification, messaging registration, carrier approval, A2P/10DLC registration, number portability, call routing, and similar telecommunications functionality may depend upon third parties.

Coverly does not guarantee that messages, calls, emails, or other communications will be delivered, received, routed, displayed, or accepted.

Carrier filtering, spam detection, recipient settings, network conditions, regulatory requirements, third-party policies, and other factors may affect delivery.

15. Acceptable Use

Customer shall not use the Services to:

  • violate any law or regulation;
  • commit fraud or facilitate deceptive practices;
  • impersonate another person or organization;
  • send unlawful spam or unsolicited communications;
  • engage in unlawful telemarketing;
  • infringe intellectual-property rights;
  • distribute malware or malicious code;
  • interfere with the operation or security of the Services;
  • attempt unauthorized access;
  • harvest or scrape data unlawfully;
  • transmit unlawful, fraudulent, defamatory, threatening, or infringing material;
  • circumvent security or usage restrictions;
  • reverse engineer the Services except where applicable law expressly prohibits such restriction;
  • resell or sublicense the Services except with Coverly's authorization;
  • use the Services in a manner that exposes Coverly or its providers to unreasonable legal, regulatory, reputational, security, or operational risk; or
  • use the Services in violation of applicable third-party provider policies.

Coverly may investigate suspected violations.

16. Subscriptions, Fees and Billing

Certain Services require payment of subscription fees, usage charges, setup fees, implementation fees, add-on charges, telecommunications charges, artificial-intelligence usage charges, or other fees.

Customer authorizes Coverly and its payment providers to charge the payment method associated with Customer's account for all amounts due.

Unless otherwise stated, subscriptions automatically renew for successive billing periods until canceled in accordance with the applicable cancellation procedure and applicable law.

Customer is responsible for maintaining a valid payment method.

Prices may be changed prospectively upon notice as required by applicable law.

Usage-based charges may vary from month to month.

Taxes, governmental assessments, telecommunications fees, registration charges, and similar charges may be added where applicable.

17. Failed Payments

If payment cannot be processed, Coverly may retry the payment method and may suspend or restrict access to paid Services.

Customer remains responsible for unpaid amounts.

Restoration of service after suspension may require payment of all outstanding balances.

18. Refunds

Except where expressly stated in a written refund policy, order form, or where required by applicable law, fees paid to Coverly are non-refundable once the applicable Services or billing period have begun.

Setup, onboarding, implementation, custom development, advertising-management, telecommunications, messaging, email, domain, AI usage, third-party, and other consumption-based charges are non-refundable once incurred except where required by law.

Nothing in this section limits any non-waivable statutory right.

19. Chargebacks and Payment Disputes

Before initiating a chargeback or payment dispute, Customer should contact Coverly regarding the disputed charge.

Fraudulent, abusive, or knowingly false chargebacks may constitute a material breach of these Terms.

Coverly may suspend Services while a payment dispute is pending where permitted by law.

Nothing in this section prevents a Customer from exercising lawful rights concerning genuinely unauthorized or improper charges.

20. Customer Content

Customer retains ownership of Customer-created content.

Customer grants Coverly the rights reasonably necessary to host, process, reproduce, display, transmit, and otherwise use such content to provide the Services.

Customer represents that Customer has sufficient rights to all content submitted through the Services.

21. Coverly Intellectual Property

The Services, software, branding, designs, interfaces, documentation, workflows, templates, proprietary configurations, original content, trademarks, logos, and other Coverly materials are owned by Coverly or its licensors and are protected by applicable intellectual-property laws.

Except for the limited right to use the Services during an active subscription, no ownership rights are transferred to Customer.

22. Feedback

If Customer voluntarily provides suggestions, ideas, enhancement requests, or other feedback regarding the Services, Coverly may use that feedback without restriction or compensation, provided that doing so does not grant Coverly ownership of Customer's confidential information or Customer Data.

23. Confidentiality

Each party may receive nonpublic information belonging to the other party.

The receiving party shall use reasonable measures to protect confidential information and shall use it only as necessary to perform or receive the Services or as otherwise authorized.

Confidential information does not include information that is publicly available through no breach, independently developed without use of the other party's confidential information, or lawfully obtained from another source without confidentiality restrictions.

Disclosure may be made where required by law, subpoena, court order, or governmental request, subject to applicable legal restrictions.

24. Service Availability

Coverly will use commercially reasonable efforts to maintain the Services.

However, the Services may occasionally be unavailable due to maintenance, updates, third-party failures, network conditions, cyber incidents, force majeure, technical problems, or other circumstances.

Unless expressly provided in a separate written service-level agreement, Coverly does not guarantee uninterrupted or error-free operation or any particular uptime percentage.

25. Beta and Experimental Features

Coverly may provide beta, preview, experimental, early-access, or similar functionality.

Such functionality may be modified or discontinued at any time and may contain defects.

Unless prohibited by law, beta or experimental functionality is provided "AS IS" without warranties.

26. Suspension and Termination

Coverly may suspend, restrict, or terminate access to all or part of the Services where reasonably necessary because of:

  • nonpayment;
  • suspected fraud;
  • security threats;
  • unlawful conduct;
  • violation of these Terms;
  • violation of provider policies;
  • excessive risk to the Services or other users;
  • governmental or legal requirements;
  • telecommunications or carrier requirements;
  • abuse of the Services; or
  • circumstances that could reasonably expose Coverly or its providers to material liability.

Where reasonably practicable and legally permissible, Coverly may provide notice and an opportunity to cure.

Serious violations may result in immediate suspension or termination.

Customer may discontinue the Services subject to applicable subscription and cancellation terms.

27. Effect of Termination

Upon termination, Customer's right to access the affected Services ends.

Customer is responsible for exporting Customer Data before termination where export functionality is available.

Following termination, Customer Data may be deleted according to Coverly's retention practices, applicable contractual commitments, backup cycles, and legal obligations.

Coverly is not obligated to retain Customer Data indefinitely after termination.

Sections intended by their nature to survive termination shall survive, including payment obligations, intellectual-property provisions, disclaimers, indemnification, limitations of liability, and dispute-resolution provisions.

28. Indemnification

To the fullest extent permitted by law, Customer agrees to defend, indemnify, and hold harmless Coverly, its parent companies, subsidiaries, affiliates, licensors, service providers, officers, directors, employees, contractors, representatives, successors, and assigns from and against third-party claims, proceedings, investigations, liabilities, damages, judgments, penalties, fines, settlements, costs, and reasonable attorneys' fees arising from or relating to:

  1. Customer's use or misuse of the Services;
  2. Customer Data;
  3. Customer's products or services;
  4. Customer's communications, advertising, calls, emails, or text messages;
  5. Customer's violation of the TCPA, CAN-SPAM, telemarketing laws, privacy laws, recording laws, or similar requirements;
  6. Customer's failure to obtain legally required consent;
  7. Customer's infringement or alleged infringement of another person's rights;
  8. Customer's violation of these Terms;
  9. Customer's violation of applicable law;
  10. Customer's employees, contractors, agents, or authorized users; or
  11. claims brought by Customer's own customers, leads, prospects, employees, contractors, or other contacts relating to Customer's conduct.

Coverly reserves the right to participate in the defense of any indemnified matter.

Customer may not settle a claim in a manner that admits wrongdoing by Coverly, imposes obligations upon Coverly, or restricts Coverly without Coverly's prior written consent.

29. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

COVERLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND RESULTS.

COVERLY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.

COVERLY DOES NOT GUARANTEE SALES, LEADS, APPOINTMENTS, CONVERSIONS, REVENUE, INSURANCE ENROLLMENTS, ADVERTISING PERFORMANCE, OR ANY OTHER BUSINESS RESULT.

30. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COVERLY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST GOODWILL, LOSS OR CORRUPTION OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVERLY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY CUSTOMER TO COVERLY FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

THE FOREGOING LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

31. No Professional Advice

Information, templates, AI output, workflows, automations, training, suggestions, and other materials provided through Coverly are for technology, informational, or operational purposes.

They are not a substitute for legal, tax, accounting, insurance, financial, medical, or other licensed professional advice.

Customer is responsible for obtaining appropriate professional advice.

32. Force Majeure

Coverly shall not be liable for delay or failure resulting from circumstances reasonably beyond its control, including natural disasters, severe weather, fire, flood, war, terrorism, civil disturbance, governmental action, labor disruption, telecommunications failures, Internet failures, utility failures, cyberattacks, epidemics, pandemics, third-party platform failures, carrier outages, cloud-service failures, or other comparable events.

33. Dispute Resolution; Individual Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for matters that applicable law prohibits from being arbitrated and requests for temporary or preliminary injunctive relief relating to intellectual property, unauthorized access, or misuse of the Services, any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or the relationship between Customer and Coverly shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under the rules applicable to the dispute.

Before initiating arbitration, the complaining party shall provide the other party written notice describing the dispute and requested relief and allow at least thirty (30) days for the parties to attempt in good faith to resolve the dispute informally.

Unless applicable law requires otherwise, arbitration shall take place in Miami-Dade County, Florida, or remotely if permitted by the arbitrator and applicable rules.

The arbitrator shall have authority to award remedies available under applicable law, subject to lawful limitations contained in these Terms.

Judgment upon an arbitration award may be entered in any court having jurisdiction.

34. Class Action and Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUSTOMER AND COVERLY AGREE THAT DISPUTES SHALL BE BROUGHT ONLY IN THEIR INDIVIDUAL CAPACITIES AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A TRIAL BY JURY FOR DISPUTES SUBJECT TO THIS AGREEMENT.

If a court determines that a particular claim cannot lawfully be subjected to the class-action waiver or arbitration provision, that claim shall proceed only to the extent required by law, and the remaining provisions shall continue in effect.

35. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law governs or applicable law requires otherwise.

For disputes not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the appropriate state or federal courts located in Miami-Dade County, Florida, unless applicable law requires another venue.

36. Electronic Communications and Signatures

Customer consents to receive agreements, disclosures, notices, invoices, and other communications electronically.

Electronic acceptance, signatures, checkboxes, account registration, and similar electronic actions may constitute binding acceptance to the extent permitted by applicable law.

37. Assignment

Customer may not assign or transfer these Terms or its account without Coverly's prior written consent.

Coverly may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing transaction, or transfer to an affiliate or successor, subject to applicable law.

38. Changes to These Terms

Coverly may update these Terms from time to time.

Material changes will become effective after reasonable notice where required by applicable law.

Continued use of the Services after revised Terms become effective constitutes acceptance to the extent permitted by law.

Changes will not retroactively eliminate accrued rights where prohibited by law.

39. Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent legally permissible or severed, and the remaining provisions shall remain in effect.

40. No Waiver

Failure to enforce a provision of these Terms does not waive the right to enforce it later.

41. Entire Agreement

These Terms, together with applicable order forms, subscription terms, the Privacy Policy, Data Processing Addendum, and other documents expressly incorporated by reference, constitute the agreement between Customer and Coverly concerning the Services and supersede prior agreements concerning the same subject matter, except for separately executed agreements expressly intended to remain in effect.

42. Order of Precedence

If there is a conflict between these Terms and a separately executed written agreement signed by an authorized representative of Coverly, the separately executed agreement controls to the extent of the conflict.
